    • Choice of Law, Jurisdiction, and Venue.  These Terms and Conditions shall be interpreted and enforced in and in accordance with the laws of the State of Utah. Any court of competent jurisdiction in the State of Utah shall have exclusive jurisdiction over any dispute arising from or related to these Terms and Conditions. Venue in Salt Lake County shall be proper. 
       
    • Binding.  These Terms and Conditions are binding upon the parties and their agents, officers, principals, members, owners, employees, servants, volunteers, affiliates, representatives, insurers, executors, administrators, heirs, successors and assigns of every nature and kind.
       
    • No Waiver. No breach of any provision of these Terms and Conditions shall be deemed waived unless it is waived in writing. Waiver of any one breach shall not be deemed a waiver of any other breach of the same or any other provision.
       
    • Entire Agreement. These Terms and Conditions represent the sole and entire agreement between the parties and supersedes all prior oral or written agreements pertaining to the subject matter of these Terms and Conditions.
       
    • Severability. If any provision of this Agreement proves to be invalid, void or illegal, the remaining provisions shall not be affected or invalidated thereby, and they shall remain in full force and effect.
       
    • Attorney Fees. In any action to enforce these Terms and Conditions or to recover damages incurred as a result of a breach of these Terms and Conditions, the prevailing party shall be entitled to recover costs and expenses, including reasonable attorney's fees.
